Terms of service

The rules and allocation of responsibility for using Hive Citadel, its AI agents, marketplace, connected apps, and workflow services.

Please read these Terms carefully. They form a binding agreement between you and Hive Citadel. If you use the Services for an organization, you confirm that you have authority to bind that organization, and “you” includes that organization.

1. Acceptance and precedence

These Terms govern access to Hive Citadel, Agent Marketplace, related applications, APIs, websites, agents, support, and connected workflows (the “Services”). By creating an account, accepting an order, connecting an app, or using the Services, you agree to these Terms and the Privacy Policy.

If you have a signed order form, master services agreement, data processing addendum, or other written agreement with Hive Citadel, that agreement controls to the extent of a direct conflict, followed by these Terms and then in-product documentation.

2. Eligibility and authority

You must be at least 18, legally capable of entering a contract, and not prohibited from using the Services under applicable law. You may connect, upload, instruct, or process data only where you have the necessary rights, notices, consents, and organizational authority.

3. The Services

Hive Citadel is an AI workforce and agent marketplace. It can retrieve information, generate content, operate approved tools, and perform configured workflows across connected services. Features, agents, models, providers, limits, and availability may change. Beta, preview, or evaluation features may be less reliable and may be modified or withdrawn.

4. Accounts and workspaces

  • Provide accurate account information and keep it current.
  • Protect credentials and devices, use reasonable security controls, and promptly report suspected compromise.
  • Workspace owners and administrators are responsible for membership, roles, connectors, policy, retention, and user access.
  • You are responsible for activity under your account unless caused by our breach of these Terms.
  • We may rely on instructions from authorized workspace administrators.

5. Third-party apps and OAuth

Connections are optional and require user or administrator authorization. A provider’s consent screen identifies the requested permissions. By connecting a service, you instruct us to access and use that service’s data to provide enabled features and actions.

You remain subject to the provider’s terms, policies, quotas, and administrator controls. Providers may change APIs, suspend access, or experience outages. We do not control third-party services and are not responsible for their acts or omissions. You can disconnect in product and should also revoke access with the provider when access is no longer required. See OAuth & app permissions.

If you connect a customer-managed API key, token, secret, or service credential, you represent that you created or lawfully control it, may authorize us to use it for the requested features, and will keep its provider permissions at least privilege. You must not connect credentials for another customer or direct the Services to operate domains, accounts, infrastructure, or products outside your direct control.

Some provider APIs impose special eligibility, commercial-use, resale, rate-limit, purchase, or account-control restrictions. You may use a connector only where both your use and our provision of the connector are permitted by the provider. We may disable or limit a connector pending provider approval or legal review.

6. Customer data

As between you and Hive Citadel, you retain ownership of data, content, instructions, and materials you submit or authorize (“Customer Data”). You grant us and our subprocessors a worldwide, non-exclusive, limited license to host, copy, process, transmit, display, and create technical derivatives of Customer Data only as needed to provide, secure, support, and comply with law in relation to the Services.

You represent that Customer Data and your instructions do not violate law, third-party rights, contractual restrictions, or provider policies. You are responsible for appropriate backups and for determining whether the Services are suitable for regulated or high-risk data.

7. AI outputs and human review

AI-generated content and decisions (“Outputs”) can be inaccurate, incomplete, biased, outdated, or non-unique. You must review Outputs and tool actions before relying on them, especially for legal, financial, medical, employment, security, safety, or other high-impact matters. The Services do not replace qualified professional advice.

To the extent permitted by law and subject to third-party rights, you may use Outputs for your lawful purposes. Because AI systems may produce similar results for others, Outputs may not be unique or protectable.

8. Agent actions and approvals

OAuth scope is not the same as agent authority. Actions may also be limited by workspace roles, enabled tools, user instructions, workflow configuration, and confirmation controls. Sensitive or externally visible actions generally require confirmation unless an authorized organization configures a pre-approved automation.

You are responsible for reviewing action details, recipients, files, values, and consequences before approval. An administrator who enables unattended or pre-approved automation accepts responsibility for its scope, monitoring, and outcomes.

9. Acceptable use

You must not use or enable the Services to:

  • violate law, sanctions, export controls, provider terms, privacy rights, intellectual-property rights, or contractual duties;
  • access accounts, systems, content, or data without authorization or bypass security, rate limits, or access controls;
  • distribute malware, spam, phishing, deceptive content, or material intended to facilitate fraud or abuse;
  • harass, exploit, discriminate unlawfully, surveil improperly, or make prohibited high-impact decisions about individuals;
  • reverse engineer, scrape, resell, sublicense, or use the Services to build a competing model or service except where law prohibits restriction;
  • interfere with service integrity, probe vulnerabilities without written authorization, or overload infrastructure; or
  • remove proprietary notices or misrepresent affiliation, identity, authorization, or AI-generated content.

10. Marketplace and extensions

Marketplace agents, skills, connectors, templates, and extensions may be provided by us, customers, or third parties. Listings describe intended capability, not a warranty of fitness or continuous availability. Third-party terms may apply. You are responsible for reviewing permissions and suitability before activation.

11. Fees, billing, and taxes

Paid Services are billed as shown in the applicable order or purchase flow. Usage-based charges may vary with model, tool, storage, and workflow consumption. You authorize applicable charges and must pay undisputed amounts when due. Fees are non-refundable except as stated in an order or required by law. Prices exclude taxes, and you are responsible for applicable taxes other than taxes on our net income.

12. Confidentiality

Each party may receive non-public information identified as confidential or that reasonably should be understood as confidential. The recipient will use it only to perform the agreement, protect it with reasonable care, and disclose it only to personnel and providers who need it and are bound by confidentiality obligations. These duties do not cover information lawfully public, already known without duty, independently developed, or rightfully received from another source.

13. Security and privacy

We maintain administrative, technical, and organizational safeguards designed to protect the Services and Customer Data. You must configure access according to least privilege and notify us promptly of suspected unauthorized use. Our Privacy Policy explains personal-data practices. Enterprise data-processing terms may be available under a separate written agreement.

14. Our technology and feedback

Hive Citadel and its licensors retain all rights in the Services, software, designs, documentation, models, workflows, branding, and other technology, excluding Customer Data. No rights are granted except the limited right to use the Services under these Terms.

If you provide feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or attribution, provided we do not identify you publicly without permission.

Send a detailed notice of alleged infringement to support@hivecitadel.com, including the protected work, disputed material and location, your contact information, a good-faith statement, and evidence of authority. We may remove content and suspend repeat infringers where appropriate.

16. Suspension

We may restrict or suspend access where reasonably necessary to address security risk, unlawful use, provider or legal requirements, non-payment, material breach, or harm to the Services or others. Where practicable, we will provide notice and an opportunity to cure. Emergency action may occur without prior notice.

17. Term and termination

These Terms continue while you use the Services. You may stop using the Services and request account deletion. We may terminate for uncured material breach, legal requirement, prolonged suspension, or discontinuation. Upon termination, your right to use the Services ends and outstanding fees become due.

Provisions that by nature should survive do survive, including payment, confidentiality, ownership, disclaimers, indemnity, liability limits, dispute terms, and lawful retention. See Data removal for deletion choices.

18. Disclaimers

To the maximum extent permitted by law, the Services, Outputs, agents, marketplace items, and third-party integrations are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation. Nothing in these Terms excludes a warranty that cannot lawfully be excluded.

19. Indemnity

To the extent permitted by law, you will defend and indemnify Hive Citadel and its personnel against third-party claims, damages, and reasonable costs arising from Customer Data, your instructions or actions, your breach of these Terms, or your unlawful or unauthorized use of the Services. We will provide reasonable notice and cooperation, and you may not settle a claim in a way that admits our fault or imposes obligations on us without consent.

20. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, business opportunity, or data, even if advised of the possibility.

To the maximum extent permitted by law, Hive Citadel’s total aggregate liability arising out of or relating to the Services and these Terms will not exceed the greater of (a) amounts you paid for the Services during the 12 months before the event giving rise to liability or (b) USD 100. The exclusions and cap do not apply where liability cannot lawfully be limited. A signed enterprise agreement may state different limits.

21. Governing law and courts

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to conflict-of-laws principles. Subject to any mandatory consumer rights, the courts of Dubai, United Arab Emirates have exclusive jurisdiction. Before filing a claim, each party will make a good-faith effort for 30 days to resolve the dispute after written notice.

22. Changes

We may update these Terms to reflect changes in law, providers, security, or the Services. We will post the revised Terms and effective date. For material changes, we will provide notice where reasonably practicable or legally required. Changes do not retroactively reduce rights for a dispute that arose before the effective date.

23. General

Neither party is liable for delay caused by events beyond reasonable control. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, or sale. Failure to enforce a term is not a waiver. If a term is unenforceable, it will be modified to the minimum extent necessary and the rest remains effective. Headings are for convenience. These Terms are the entire agreement for their subject unless a signed agreement says otherwise.

Legal notices to Hive Citadel must be sent to support@hivecitadel.com with “Legal Notice” in the subject. We may send notices to your account email, through the Services, or by another contact method in an order.
